OpenAI Announces Restructuring Plan and New Microsoft Agreement

OpenAI has revealed plans to restructure part of its operations into an independent for-profit entity while maintaining its non-profit status. The original non-profit holding company will retain control over the new entity, and it will hold a $100 billion stake in the newly formed Public Benefit Corporation (PBC), positioning it as one of the most well-resourced philanthropic organizations globally.

The restructuring is crucial for securing approximately $19 billion in equity financing. Failure to complete the restructuring by the year's end could result in losing access to capital or converting some of it into debt, impacting plans for an initial public offering and the development of new data centers.

Civic and labor groups in California and Delaware have opposed the plan, concerned about the treatment of assets held in charitable trust by the non-profit parent. The attorneys general of both states are investigating potential violations of state laws governing charitable organizations.

OpenAI and Microsoft have announced a new non-binding agreement regarding their partnership's future structure. Although terms were not disclosed, reports suggest that Microsoft and the OpenAI non-profit will each receive a 30% stake in the new for-profit company.

Microsoft, a significant early investor in OpenAI, has invested approximately $14 billion over the past four years. Despite recent tensions, the new agreement allows OpenAI to proceed with its restructuring plans with state regulators.
